and the persons engaged by it or on its behalf, which it uses in the execution of the Order.<\/p><p>d) Assignment <strong>(or, inter alia, called: recruitment and selection assignment):<\/strong> is the agreement in which the Customer grants Koppelbazen B.V. an assignment. The agreement is formed by acceptance of the offer\/recruitment proposal of Koppelbazen B.V. The Assignment may concern the temporary placement of a person (interim), the recruitment and selection of a person (permanent), advice on the role and position of a person or coaching and training of a person. <\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-0aaa7f7 elementor-widget elementor-widget-heading\" data-id=\"0aaa7f7\" data-element_type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">Article 2 Scope<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-ae2e603 elementor-widget elementor-widget-text-editor\" data-id=\"ae2e603\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>2.1<br>These General Terms and Conditions apply to and form part of all offers, quotations, assignments and other agreements between Koppelbazen and the Customer and all assignments and\/or disputes arising therefrom.  <\/p><p>2.2<br>Deviations from these General Terms and Conditions are valid only if and to the extent that they have been accepted by Koppelbazen in writing.<\/p><p>2.3<br>The applicability of other (general) terms and conditions is expressly excluded.<\/p><p>2.4<br>If the Client has issued an Assignment to Koppelbazen, to which these general conditions apply, these general conditions also apply to tacit renewal of such an Assignment, or to subsequent Assignments issued by the Client to Koppelbazen.<\/p><p>2.5<br>These General Terms and Conditions are available in both Dutch and English. In case of contradictions, the Dutch text shall prevail. <\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-3419962 elementor-widget elementor-widget-heading\" data-id=\"3419962\" data-element_type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">Article 3 Offers and formation of the Assignment<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-bf97c26 elementor-widget elementor-widget-text-editor\" data-id=\"bf97c26\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>3.1<br>All offers by Koppelbazen are entirely without obligation and non-binding and may be revoked within a reasonable time or as long as it has not been accepted by the Client, unless otherwise expressly stated in writing.<\/p><p>3.2<br>The prices in the offers and quotations are exclusive of VAT and other government levies, as well as any costs in connection with the Order, unless otherwise indicated.<\/p><p>3.3<br>Verbal commitments by Koppelbazen are not binding until confirmed in writing by Koppelbazen.<\/p><p>3.4<br>Assignments, agreements and changes to them shall not come into effect until Koppelbazen has accepted them in writing or Koppelbazen has actually commenced execution of the Assignment.<\/p><p>3.5<br>Customer shall provide all information that Koppelbazen indicates is necessary for the execution of the Order. If these are not provided in a timely manner, Koppelbazen is entitled to suspend execution. <\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-5c74e2e elementor-widget elementor-widget-heading\" data-id=\"5c74e2e\" data-element_type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">Article 4 Assignment<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-0e321dd elementor-widget elementor-widget-text-editor\" data-id=\"0e321dd\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>4.1<br>Koppelbazen will record the relevant vacancy of the Client as much as reasonably possible in the form of a job description or otherwise, for example, what the content of the position is, what the profile of the desired candidate entails in terms of knowledge and skills and the assessment criteria.<\/p><p>4.2<br>koppelbazen will make every effort to nominate one or more Candidates.<\/p><p>4.3<br>Times by which an Order should be fulfilled are considered indicative.<\/p><p>4.4<br>Koppelbazen does not fail imputably and is not liable for compensation for damages or costs if for any reason it is unable to offer a Candidate on time.<\/p><p>4.5<br>The Client is required to provide Koppelbazen with all relevant information necessary for the provision of services.<\/p><p>4.6<br>koppelbazen is not responsible for the accuracy of the information provided by the Client and may rely on it.<\/p><p>4.7<br>koppelbazen is entitled to use the Client&#8217;s trade name and logo in recruitment.<\/p><p>4.8<br>koppelbazen assumes in the execution of the Assignment that the Client will provide the necessary cooperation.<\/p><p>4.9<br>All information relating to candidates will be kept confidential and will not be used without permission and only for the particular job posting.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-5ca8bc5 elementor-widget elementor-widget-heading\" data-id=\"5ca8bc5\" data-element_type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">Article 5 Duration and termination of the Assignment<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-4f329cd elementor-widget elementor-widget-text-editor\" data-id=\"4f329cd\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>5.1<br>An Assignment ends when a placement is made or when one of the parties withdraws or terminates the Assignment.<\/p><p>5.2<br>Either party may terminate the Engagement with immediate effect without prior notice of default if:<br>a) the other party is in a state of bankruptcy;<br>b) suspension of payments has been granted;<br>c) the other party is liquidated;<br>d) foreclosure is levied;<br>e) the other party imputably fails in its material obligations and does not remedy the same within a reasonable period of time.<\/p><p>5.3<br>Upon termination, Koppelbazen is not liable to the Customer for any compensation.<\/p><p>5.4<br>koppelbazen has the right to recover any damages and costs resulting from termination.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-d7e5be5 elementor-widget elementor-widget-heading\" data-id=\"d7e5be5\" data-element_type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">Article 6 Withdrawal<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-659d4ba elementor-widget elementor-widget-text-editor\" data-id=\"659d4ba\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>6.1<br>If the Client withdraws, terminates or changes elements of an Engagement after Koppelbazen has already performed work, the Client shall owe a fee of 50% of the fee included in the Engagement Confirmation with a minimum of \u20ac10,000.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-4fc0e14 elementor-widget elementor-widget-heading\" data-id=\"4fc0e14\" data-element_type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">Article 7 Compensation<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-f0373e5 elementor-widget elementor-widget-text-editor\" data-id=\"f0373e5\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>7.1<br>If the Client or an affiliated party enters into an employment relationship or other contractual relationship with a Candidate proposed by Koppelbazen, the Client should pay the agreed fee, regardless of whether this employment relationship is established through Koppelbazen. If more than one Candidate proposed by Koppelbazen joins the Client, the Client is required to pay the agreed fee for each Candidate hired. <\/p><p>7.2<br>Compensation will be based on a percentage of the gross annual salary agreed upon between candidate and Client including emoluments, converted to a full year (12 months).<\/p><p>7.3<br>The aforementioned fee shall be at least \u20ac10,000, excluding VAT.<\/p><p>7.4<br>The Client shall also owe a fee referred to in Sections 7.1 and 7.2 if the Client or a group company or affiliated entity of the Client enters into an employment relationship or contractual relationship of any kind with the Candidate within 18 months after the Candidate has been introduced, regardless of whether it is for the same or a different position than that for which the Candidate was introduced and regardless of whether the Candidate has also been introduced by another intermediary or whether the Candidate has approached the Client.<\/p><p>7.5<br>All prices are exclusive of VAT.<\/p><p>7.6<br>Recruitment costs will be charged separately by Koppelbazen to the Client and do not form part of the fee. The costs are payable by the Client at all times, even if no Candidate is introduced or hired. <\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-1a4514e elementor-widget elementor-widget-heading\" data-id=\"1a4514e\" data-element_type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">Article 8 Out of Service<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-9f549a2 elementor-widget elementor-widget-text-editor\" data-id=\"9f549a2\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>8.1<br>If the Candidate terminates the employment relationship with the Client of his or her own accord within the term of the probationary period of the employment relationship, or if within this period of notice it appears that the Candidate is not suitable for the intended position, Koppelbazen shall make every effort to recruit and select replacement Candidates, without any further compensation being payable by the Client, provided that:<br>(a) the Client notifies Koppelbazen in writing within seven days of termination;<br>(b) the termination is not the result of modification or non-performance of the employment agreement by the Client;<br>(c) the essential characteristics of the position have not changed;<br>(d) the termination is not the result of redundancy, reorganization, merger or acquisition;<br>(e) the Client has paid all amounts invoiced by Koppelbazen.<\/p><p>8.2<br>Recruitment costs and third party costs will be payable, however, in the cases of Article 8.1.<\/p><p>8.3<br>In all other cases, the Client shall remain liable for the fee in full.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-b64414c elementor-widget elementor-widget-heading\" data-id=\"b64414c\" data-element_type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">Article 9 Payment<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-9ffbc37 elementor-widget elementor-widget-text-editor\" data-id=\"9ffbc37\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>9.1<br>Payment should be made to Koppelbazen within 14 days of the invoice date by transfer to Koppelbazen&#8217;s bank account number shown on the invoice.<\/p><p>9.2<br>Payment shall be made without set-off. Client is not authorized to suspend payment. <\/p><p>9.3<br>Once the invoice period has expired, the Customer is in default by operation of law without notice of default being required. The Customer shall then owe Koppelbazen the statutory commercial interest on the outstanding amount. <\/p><p>9.4<br>If Koppelbazen must take measures to collect its claim, the Customer is required to reimburse Koppelbazen for all costs actually incurred in the collection, including the actual costs of legal assistance (judicial and any procedural costs orders) and other third parties engaged.<br>Koppelbazen&#8217;s statement of costs serves as compelling evidence of this. The collection costs are at all times at least 15% of the principal amount due with a minimum of \u20ac500. <\/p><p>9.5<br>Complaints relating to the invoice should be submitted in writing to Koppelbazen within one week of the date of the invoice, failing which the Customer shall have processed its right in the matter. A complaint does not affect the obligation to pay. <\/p><p>9.6<br>If the Client is in default in the performance of one or more of its obligations, all of its obligations will automatically become due and payable until the amount due is paid.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-a33ecab elementor-widget elementor-widget-heading\" data-id=\"a33ecab\" data-element_type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">Article 10 Liability<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-a716a5a elementor-widget elementor-widget-text-editor\" data-id=\"a716a5a\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>10.1<br>The Client is responsible for its final choice of a Candidate. Koppelbazen is not liable if the Candidate does not meet the requirements or expectations of the Client or for damage caused by the Candidate. The Client should verify the Candidate&#8217;s suitability and check the Candidate&#8217;s references and diplomas.  <\/p><p>10.2<br>Koppelbazen is also not liable for damages suffered by the Client if a Candidate decides not to enter into an employment relationship with the Client or decides to terminate (prematurely) an employment relationship entered into with the Client.<\/p><p>10.3<br>Any liability of Koppelbazen is limited to the amount of the fee paid by the Customer to Koppelbazen. Liability for consequential and indirect damage, such as damage caused by delay or business interruption, damage to image, lost profits, missed savings or losses suffered as well as damage from third parties is excluded in all cases. <\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-f7425ca elementor-widget elementor-widget-heading\" data-id=\"f7425ca\" data-element_type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">Article 11 Privacy<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-ac7b2bc elementor-widget elementor-widget-text-editor\" data-id=\"ac7b2bc\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>11.1<br>The Client does not claim any data that Koppelbazen is not permitted to provide and\/or collect under applicable laws and regulations.<\/p><p>11.2<br>The Client is responsible for processing data provided.<\/p><p>11.3<br>The Client is not permitted to use or provide to third parties (assessment) reports of candidates without Koppelbazen&#8217;s prior written consent.<\/p><p>11.4<br>The Client shall indemnify Koppelbazen against any claim by candidates or other third parties against Koppelbazen in connection with a violation by the Client of laws and regulations concerning personal data and shall reimburse Koppelbazen for related expenses incurred by Koppelbazen.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-0e8d93d elementor-widget elementor-widget-heading\" data-id=\"0e8d93d\" data-element_type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">Article 12 Confidentiality<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-0a0bb06 elementor-widget elementor-widget-text-editor\" data-id=\"0a0bb06\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>12.1<br>Client shall keep the contents of the Engagement strictly confidential from third parties, unless disclosure is required:<br>a) in the context of the performance of the Engagement; and\/or<br>b) on the basis of a statutory regulation or order from a governmental authority.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-d8020f3 elementor-widget elementor-widget-heading\" data-id=\"d8020f3\" data-element_type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">Article 13 Non-solicitation clause<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-d12b3bf elementor-widget elementor-widget-text-editor\" data-id=\"d12b3bf\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>13.1<br>During the Assignment and for 18 months after the end of the Assignment, the Client and all its affiliates are not permitted to enter into an employment relationship or cooperation of any kind with employees who were employed by Koppelbazen at the time of the Assignment without Koppelbazen&#8217;s prior written consent.<\/p><p>13.2<br>Violation of this shall result in compensation due and immediately payable to Koppelbazen in the amount of \u20ac25,000, exclusive of VAT. Koppelbazen shall also be entitled to compensation at all times. <\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-99f491b elementor-widget elementor-widget-heading\" data-id=\"99f491b\" data-element_type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">Article 14 Applicable law and competent court<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-c8a109b elementor-widget elementor-widget-text-editor\" data-id=\"c8a109b\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>14.1<br>These General Conditions and the Assignment are governed by Dutch law.<\/p><p>14.2<br>Disputes arising from or relating to the Assignment to which these General Terms and Conditions apply as well as disputes concerning these General Terms and Conditions shall, if they fall within the jurisdiction of the court, be brought before the Court of Rotterdam.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-9154803 elementor-widget elementor-widget-heading\" data-id=\"9154803\" data-element_type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">Article 15 Processing personal data<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-be6bcbe elementor-widget elementor-widget-text-editor\" data-id=\"be6bcbe\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>15.1. <br>Koppelbazen processes personal data of Candidates only for purposes necessary for the performance of the Engagement, in accordance with applicable privacy laws and Koppelbazen&#8217;s privacy policy, as published at <a href=\"https:\/\/www.koppelbazen.nl\/en\/privacy-statement\/\">https:\/\/www.koppelbazen.nl\/en\/privacy-statement<\/a> and this policy forms an integral part of these general terms and conditions.<\/p><p>15.2<br>Parties acknowledge that in the performance of the Engagement they process personal data within the meaning of the General Data Protection Regulation (AVG). In doing so, each party acts as an independent data controller, unless expressly agreed otherwise in writing. <\/p><p>15.3<br>Client ensures that it processes personal data of Candidates only in accordance with applicable laws and regulations and only for purposes directly related to the relevant Assignment<\/p><p>15.4<br>The Client is not permitted to disclose personal data, (assessment) reports or other data of Candidates to third parties or use them for other purposes without Koppelbazen&#8217;s prior written consent.<\/p><p>15.5<br>Client fully indemnifies Koppelbazen against all claims, fines, penalties and costs (including reasonable costs of legal representation) arising from a violation by Client of applicable privacy laws.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-ff39e9c elementor-widget elementor-widget-heading\" data-id=\"ff39e9c\" data-element_type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">Article 16 Final provision\n<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-4175d78 elementor-widget elementor-widget-text-editor\" data-id=\"4175d78\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>16.1 <br>If one or more provisions of these General Conditions are declared null and void or are annulled, the remaining provisions of the General Conditions and\/or other agreements shall remain in force.
